1. You grant Casio/G-SHOCK and its associated companies, subsidiaries, employees, agents, licensees and assigns (hereinafter referred to as “Casio/G-SHOCK”), an irrevocable, perpetual, royalty-free and unrestricted right to use, re-post, sub-licence, transfer, copy, distribute, store, adapt, reproduce, modify, publish, display and create derivative works of and from Your Content or any parts thereof, including your image and likeness as depicted therein, worldwide for all purposes including the following:
2. a) editorial purposes;
3. b) trade purposes;
4. c) advertising and promotional purposes (including as set out in paragraph 4 below); and
5. d) commercial and non-commercial purposes. 
6. You affirm, represent and warrant that you have the absolute ownership and unrestricted authority to grant the licence in paragraph 1 above in accordance with terms thereof (“the Licence”). 
7. You acknowledge Casio/G-Shock’s reliance on your acceptance of these Terms and Conditions and the creation of the Licence in respect of Your Content and that Casio/G-Shock’s use of Your Content accordingly is made in full reliance of your acceptance of these Terms and Conditions. 
8. Without prejudice to paragraphs 1 to 3 above, you acknowledge and understand that the Licence means that all of Your Content (including your or anyone else’s image and likeness as depicted therein) may be used by Casio/G-SHOCK in any manner throughout the world in any medium, including without limitation, printed publications, digital displays, presentations, promoted and promotional materials, television, cinema or the internet, including but not limited to Casio/G-Shock and their brand websites (including any online gallery), Apps and social media channels as well as in emails sent to its CRM databases and in the Casio/G-SHOCK retail stores (“Medium”), in their original format or as edited or altered in any way which Casio/G-SHOCK deems appropriate as it is permitted so to do under the Licence terms set out above.
9. You further acknowledge and agree that other users of any of the Medium (including without limitation individuals and companies) can also share and make Your Content available on their own social media platforms or other marketing services and that your acceptance of these Terms and Conditions allow Casio/G-Shock to make Your Content so available to such other users accordingly on and from such other platforms and services. Without limitation, in particular a user can share Your Content directly from any gallery on any Casio Medium and if they are accessing the gallery on their mobile device, can share Your Content via WhatsApp. 
10. By accepting these Terms and Conditions as above, you confirm and warrant the following: 
11. a) You are the only author of Your Content and that it is your original work or that you otherwise have free licence to grant the Licence created hereby in respect of the same in accordance with the terms hereof; 
12. b) You are the sole copyright holder of Your Content or that you otherwise have free licence to grant the Licence created hereby in respect of the same in accordance with the terms hereof;
13. c) You have not licensed or granted any rights in Your Content or any of it in any way that conflicts or will conflict with any of the Licence rights created hereby as set out above;
14. d) You are aged 18 or over;
15. e) Where Your Content includes images or likenesses of any other person(s), you have the unqualified permission of each such person (or if they are under 18, the unqualified consent of their parent or guardian) or are otherwise authorised to give consent on behalf of such persons to the use of their image or likeness as part of Your Content in accordance with these Terms and Conditions;
16. f) Your Content does not include and will not breach any other intellectual property rights or other rights (including privacy rights) of any third person or entity and is not unlawful or illegal; and 
17. g) Your Content does not breach any contract or duty of confidence or constitute a contempt of court or defame any person.
18. You shall be responsible for and shall fully indemnify Casio/G-SHOCK and all other relevant users of Your Content as permitted hereby on a full indemnity basis against any claim made by any person in respect of any such use of Your Content in accordance with these Terms and Conditions (including without limitation in respect for any liability in respect of breach of privacy, breach of third party rights including intellectual property rights, royalties, fees and any other monies owing to any person or entity by reason of such use and your breaching these Terms and Conditions accordingly).
19. You hereby waive (or to the extent that you cannot waive agree irrevocably never to assert) any and all moral rights to which you may be entitled anywhere in the world in respect of Your Content in relation to its use hereunder in accordance with these Terms and Conditions.
20. In relation to personal data in Your Content or which you otherwise provide to us, you consent to Casio/G-SHOCK, that Casio/G-SHOCK may: 
21. a) store any contact details you provide for the purpose of contacting you, including got marketing purposes;
22. b) transfer to (and store) copies of your contact details, to a destination outside the European Economic Area (“EEA”); and
23. c) share your social media account handle across Casio/G-SHOCK services and with third parties who need this to be able to provide services to Casio/G-SHOCK, such as Yotpo. 
24. These Terms and Conditions are governed by and shall be construed in accordance with the laws of England and Wales and any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
25. If any provision of these Terms and Conditions is held to be illegal, void, invalid or unenforceable, the legality, validity and unenforceability of the remainder of these Terms and Conditions shall not be affected or prejudiced.

By agreeing to these Terms and Conditions you are allowing Casio/G-SHOCK and its agents (including Yotpo) to collect and hold your personal information for (amongst other things) for marketing purposes by sending Casio/G-SHOCK promotional materials to you (“Your Marketing Permission Consent”).

**Competition Terms and Conditions:

1. **Eligibility:** - The competition is open to residents of the United Kingdom aged 18 years or over, except employees of Casio and G-SHOCK UK and their close relatives and anyone otherwise connected with the organisation or (where applicable) any person involved in the judging of the competition. 
2. **Competition Period:** - The competition period is clearly stated in the competition promotional materials. Entries received outside of this period will not be considered. 
3. **How to Enter:** - Entrants must follow the instructions outlined in the competition announcement and promotional materials, which will be free to enter but which may include actions such as liking a social media post, commenting with a specific hashtag or completing an online form. - Only one entry per person is permitted. By entering into any competition, entrants are irrevocably representing Casio/G-Shock UK and they are eligible to make such entry in accordance with the published entry criteria and acknowledge Casio/G-Shock UK’s reliance on such representation in accepting the same. Casio/G-Shock UK reserve the right to reject any entry to any competition at their absolute discretion for any reason or otherwise without attributing any reason. 
4. **Prizes:** - The prize(s) are clearly stated in the competition announcement. - Prize(s) are as stated and no cash or other alternatives will be offered. Prizes are not transferable; are subject to availability and Casio/G-SHOCK reserve the right to substitute any prize with another of equivalent value without giving notice. 
5. **Winner Selection:** - Save where otherwise specifically stated in any Competition announcement, winners will be selected at random from all accepted entries received during the competition period. - The winner(s) will be notified via the platform through which they entered (e.g., social media direct message or email) within 7 days of the closing date. If a winner cannot be contacted or fails for any reason to claim a prize within 14 days of notification, the prize will thereby be forfeit unless Casio/G-Shock UK in their absolute discretion may decide otherwise and Casio/G-Shock UK reserve the right to withdraw the prize from that winner and pick a replacement winner. 8. **General:** - Casio/G-SHOCK UK reserves the right to cancel or amend any competition and these Terms and Conditions at any time without notice and without attributing any reason. Without prejudice to the foregoing, Casio/G-Shock UK will make reasonable efforts that any changes to or withdrawal of a competition is notified to entrants as soon as possible. 9. **Governing Law**: - Each competition and these Terms and Conditions will be governed by English law and any disputes will be subject to the exclusive jurisdiction of the courts of England. By entering a competition, entrants agree to be bound by these Terms and Conditions.
